<p>This document is a translation in English of the document "LogReport
Articles of Association", available from
http://logreport.org/about/aofa.php . This translation is not
word-by-word. The main ideas however are reflected in this translation.
Please note that the <strong>paper</strong> copy of the Dutch text is the
only authorative source.</p>
<h2>ESTABLISHMENT FOUNDATION</h2>
<p>Today, August 21, 2000, mr. Kornelis Hans Pentinga, notary, saw
<ul><li>Teunis Hagen</li><li>Tjepko Wytze van der Raaij</li><li>Jakob Schripsema</li></ul>
</p>
<p>
<ul><li>The NLnet foundation's aim is to promote the electronic exchange
of information and everything related to this;</li><li>As a result, Stichting NLnet wants to (further) develop Open
Source Software for the benefit of the Internet;</li><li>For administrative and organisatory reasons Stichting NLnet
wants to exercise these activities in a foundation, established by
NLnet.</li></ul>
</p>
<p>The following statutes are declared:</p>
<h3>Definition:</h3>
<ul><li><strong>Open Source Software</strong>: software for which the
source code is freely available for third parties.</li><li><strong>Period</strong>: the period of two (2) years, to be
counted from the establishment of the foundation.</li><li><strong>Stichting NLnet</strong>: the stichting: Stichting
NLnet, seated in Amsterdam.</li></ul>
<h2>STATUTES</h2>
<h3>NAME AND SEAT</h3>
<em>Article 1</em>
<ul><li>The foundation is called <strong>Stichting LogReport
Foundation</strong></li><li>The foundation has its seat in the city of Eindhoven.</li></ul>
<h3>DURATION</h3>
<em>Article 2</em>
<p>The foundation has been established for an unspecified
duration.</p>
<h3>AIM AND MEANS</h3>
<em>Article 3</em>
<ul><li>The foundation's aim is:
<ul><li>the development, maintenance and distribution of tools and
knowledge for the processing of computer network programs log
files, as well as generating reports from such log files;</li><li>the encouragement of the use of these tools and knowledge
while maintaining information systems;</li><li>the encouragement of authors of network/computer system
applications to enable possibilities in these applications to
generate useful standardised and automatically processable
information in log files;</li><li>contribute development and introduction of product
independent log file formats (standards);</li><li>the creation of a forum for system administrators and
software developers on the subject of usage and analysis of log
file information; and</li><li>furthermore everything directly or vaguely connected to
mentioned aims, all in the broadest sense.</li></ul>
</li><li>The foundation tries to reach its goals by, among other things:
<ul><li>offering opportunities to talented software developers to
maintain and expand Open Source Software projects in the benefit
of the Internet;</li><li>starting cooperations, in any form, with other developers
in the field of the development of projects as mentioned under
the previous item;</li><li>stimulating the broad distribution of developed
software.</li></ul>
</li><li>All software and documentation, developed by the foundation,
will be available for the community under Open Source
conditions.</li></ul>
<h3>ASSETS</h3>
<em>Article 4</em>
<p>The foundations fortune will consist of:</p>
<ul><li>gifts, subsidies, legacies;</li><li>all other legal benefits.</li></ul>
<h3>BOARD</h3>
<em>Article 5</em>
<ul><li>The board consists of 3 persons.</li><li>During the Period, two of the members of the board are assigned
by Stichting NLnet. The third member of the board will be assigned
by the aforementioned members. After the Period, members of the
board will get assigned by co-optation.</li><li>The board assigns a chairman, a secretary and a treasurer from
its members. One person could function both as secretary and
treasurer.</li><li>In case one or more members lack from the board, the remaining
member(s) will still constitute a legal board. Such a board is
obliged to find new members as soon as possible.</li><li>The members of the board do not get a reward for their work.
They do have a right on a reasonable reimbursement for the costs made
in their function.</li></ul>
<h3>BOARD MEETINGS AND BOARD DECISIONS</h3>
<em>Article 6</em>
<ul><li>Board meetings will take place at least once a year. Meetings
will take place in The Netherlands.</li><li>An invitation for a meeting is sent out - apart from what is
staeted in the first item of this article - by the chairman at least
7 days in advance.</li><li>The foundations' managing director will be invited for the
board meetings, to give advise.</li><li>The invitations include place and time of the meeting, as well
as an agenda.</li><li>In case the requirements on sending out invitations as layed
down in these articles are not met, valid decisions can only be made
by common consent in a meeting where all members of the board are
attending or are being represented.</li><li>Meetings are guided by the chairman. In case of his absence,
the meeting will take care of guidance.</li><li>
<p>Minutes are made by the secretary or by any of the other
attendands, as decided by the chairman.</p>
<p>Minutes are determined and signed by the chairman and the
secretary.</p>
</li><li>
<p>The board can take valid decisions only when the majority of
the members of the board are attending the meeting or are being
represented.</p>
<p>A member of the board can get himself represented by
submitting a written warrant, assessed by the chairman. A member
of the board can represent at most one other member.</p>
</li><li>
<p>The board can take decisions also without having a meeting, on
the condition all members of the board have been given an
opportunity to express their opions, written, by fax or
email.</p>
<p>The records of these decisions are attached to the
minutes.</p>
</li><li>
<p>Every member of the board has the right to issue one
vote.</p>
<p>As far as these articles do not prescribe a bigger majority,
all decisions are taken by majority of votes.</p>
</li><li>
<p>Alle stemmingen ter vergadering geschieden mondeling, tenzij
de voorzitter van de desbetreffende vergadering een schriftelijke
stemming gewenst acht of één der stemgerechtigde
aanwezigen dit voor de stemming verlangt.</p>
<p>Schriftelijke stemming geschiedt bij ongetekende, gesloten
briefjes.</p>
</li><li>Blanco stemmen worden beschouwd als niet te zijn uitgebracht.
Zij tellen wel mee ter bepaling van enig quorum.</li><li>Het ter vergadering uitgesproken oordeel van de voorzitter van de
desbetreffende vergadering omtrent de uitslag van een stemming is
beslissend. Hetzelfde geldt voor de inhoud van een genomen besluit,
voorzover werd gestemd over een niet schriftelijk vastgelegd
voorstel.</li><li>Wordt onmiddellijk na het uitspreken van het oordeel van de
voorzitter van de desbetreffende vergadering de juistheid daarvan
betwist, dan vindt een nieuwe stemming plaats, indien de meerderheid
der vergadering of, indien de oorspronkelijke stemming niet
hoofdelijk of schriftelijk geschiedde, een stemgerechtigde aanwezige,
dit verlangt. Door deze nieuwe stemming vervallen de rechtsgevolgen
van de oorspronkelijke stemming.</li></ul>
<h3>BESTUURSBEVOEGDHEID</h3>
<em>Artikel 7</em>
<ul><li>Behoudens beperkingen volgens deze statuten, is het bestuur belast
met het besturen van de stichting.</li><li>Het bestuur is bevoegd te besluiten tot het aangaan van overeenkomsten
tot verkrijging, vervreemding en bezwaring van registergoederen, en tot
het aangaan van overeenkomsten waarbij de stichting zich als borg of
hoofdelijk medeschuldenaar verbindt, zich voor een derde sterk maakt
of zich tot zekerheidstelling voor een schuld van een derde verbindt,
mits in alle gevallen op grond van een met algemene stemmen genomen
bestuursbesluit in een vergadering, waarin alle in functie zijnde
bestuursleden aanwezig of vertegenwoordigd zijn zonder dat in het bestuur
enige vacature bestaat.</li><li>Het bestuur draagt zorg voor de inschrijving van de stichting en van
alle bestuursleden en de mutaties daarin in het handelsregister.</li></ul>
<h3>VERTEGENWOORDIGING</h3>
<em>Artikel 8</em>
<p>The foundation gets represented by:
<ul><li>the board; or</li><li>two members of the board.</li></ul>
</p>
<h3>ENDING MEMBERSHIP OF THE BOARD</h3>
<em>Artikel 9</em>
<ul><li>Every member of the board resign within at most 3 years after
his appointment, or earlier, as per a schedule, to be made by the
board. Resigning board members can get unrestricted immediately
re-appointed.</li><li>Membership of the board ends:
<ul><li>by decease;</li><li>by saying goodbye;</li><li>in case a member looses the free ownership of his
possessions;</li><li>by dismissal by a legal court;</li><li>when decided so by the board. Such a decision is made
when all other members of the board vote in favor of
dismissal.</li></ul>
</li><li>A member can get suspended by all other members of the board.
Suspension which is not followed by dismissal within three monts,
ends when this period is over.</li></ul>
<h3>DIRECTOR</h3>
<em>Artikel 10</em>
<ul><li>The board can assign a director for the foundation.</li><li>The board is authorized to suspend and to dismiss the
director.</li><li>The tasks and responsibilities of the director will be recorded
in regulations by the board.</li><li>The board can authorize the director to represent the board at
explicitly mentioned occasions.</li></ul>
<h3>FINANCIAL YEAR, ANNUAL REPORT AND DUTY OF
STORAGE</h3>
<em>Article 11</em>
<ul><li>Het boekjaar van de stichting is gelijk aan het kalenderjaar. Het eerste
boekjaar eindigt op éénendertig december tweeduizend.</li><li>Het bestuur is verplicht van de vermogenstoestand van de stichting
en van alles betreffende de werkzaamheden van de stichting, naar de
eisen die voortvloeien uit deze werkzaamheden, op zodanige wijze een
administratie te voeren en de daartoe behorende boeken, bescheiden en
andere gegevensdragers op zodanige wijze te bewaren, dat te allen tijde
de rechten en verplichtingen van de stichting kunnen worden gekend.</li><li>Het bestuur is verplicht jaarlijks vóór één
juli de balans en de staat van baten en lasten van de stichting te maken
en op papier te stellen.</li><li>Het bestuur is bevoegd een registeraccountant of
accountant-administratieconsulent te benoemen teneinde de balans en de
staat van baten en lasten te controleren.</li><li>Het bestuur is verplicht de in dit artikel bedoelde boeken, bescheiden
en andere gegevensdragers gedurende zeven (7) jaren te bewaren.</li><li>De op een gegevensdrager aangebrachte gegevens, uitgezonderd de op papier
gestelde balans en staat van baten en lasten, kunnen op een andere
gegevensdrager worden overgebracht en bewaard, mits de overbrenging
geschiedt met juiste en volledige weergave van de gegevens en deze
gedurende de volledige bewaartijd beschikbaar zijn en binnen redelijke
tijd leesbaar kunnen worden gemaakt.</li></ul>
<h3>CHANGE OF ARTICLES OF ASSOCIATION AND
DISSOLUTION</h3>
<em>Article 12</em>
<ul><li>
<ul><li>
<p>After acknowledgement of the NLnet foundation, the board
is authorized to either change these articles of association
during the Period, in compliance with the second item of this
article, or to dissolute the foundation. Decisions to do so
need to be taken with a majority of at least 2/3 of the votes,
in a meeting where all members of the board are attending or
are being represented, without any position being vacant.</p>
<p>Zijn niet alle bestuursleden tegenwoordig of
vertegenwoordigd, dan kan binnen vier (4) weken daarna een
tweede vergadering worden bijeengeroepen en gehouden, waarin
over het voorstel zoals dat in de vorige vergadering aan de
orde is gesteld, ongeacht het aantal tegenwoordig of
vertegenwoordigde bestuursleden, kan worden besloten, mits met
een meerderheid van ten minste twee derde (2/3) van de
stemmen.</p>
</li><li>
<p>Na de Periode is het bestuur bevoegd de statuten van de
stichting te wijzigen met inachtneming van het bepaalde in lid
2 van dit artikel, alsmede om de stichting te ontbinden.
Besluiten hiertoe moeten worden genomen met algemene stemmen in
een vergadering waarin alle van de in functie zijnde
bestuursleden aanwezig of vertegenwoordigd zijn zonder dat in
het bestuur enige vacature bestaat.</p>
<p>Zijn niet alle bestuursleden tegenwoordig of
vertegenwoordigd, dan kan binnen vier (4) weken daarna een
tweede vergadering worden bijeengeroepen en gehouden, waarin
over het voorstel zoals dat in de vorige vergadering aan de
orde is gesteld, ongeacht het aantal tegenwoordig of
vertegenwoordigde bestuursleden, kan worden besloten, mits met
algemene stemmen.

</li></ul>
</li><li>Article 3 "AIM AND MEANS", as well as the fifth item of this
article of these statutes cannot be changed.</li><li>Statutenwijziging moet op straffe van nietigheid bij
notariële akte tot stand komen. Ieder bestuurslid is
afzonderlijk bevoegd zodanige akte te doen verlijden. De
bestuursleden zijn verplicht een authentiek afschrift van de
wijziging alsmede de gewijzigde statuten neer te leggen ten kantore
van het handelsregister.</li><li>Na ontbinding blijft de stichting voortbestaan voorzover dit
tot vereffening van haar vermogen nodig is. Ter vereffening van het
vermogen van de ontbonden stichting treden de bestuurders als zodanig
op. De vereffenaars dragen zorg voor inschrijving van de ontbinding
van de stichting bij het handelsregister.</li><li>Any possible remaining balance after settlement of the
disbanded foundation will be spent according to the aim of the
foundation.</li><li>De boeken, bescheiden en andere gegevensdragers van de
ontbonden stichting moeten worden bewaard gedurende zeven (7) jaren
na afloop van de vereffening door degene die hiertoe door het bestuur
als zodanig is aangewezen.
</li></ul>
<h3>REGLEMENTEN</h3>
<em>Artikel 13</em>
<p>Het bestuur van de stichting kan reglementen vaststellen en wijzigen of
op heffen. Een reglement mag niet in strijd zijn met de wet of met deze
statuten. Op de vaststelling, wijziging en opheffing van de reglementen
is het bepaalde in artikel 12 lid 1 van toepassing.</p>
<h3>SLOTBEPALINGEN</h3>
<em>Artikel 14</em>
<p>In alle gevallen, waarin noch de wet, noch deze statuten, noch de
reglementen van de stichting voorzien, beslist het bestuur.</p>
<p>Tenslotte verklaren de verschijnende personen dat - in afwijking van het
bepaalde in artikel 5 leden 2 en 3 - voor de eerste maal tot bestuurders
van de stichting worden benoemd met de volgende functies:
<ul><li>de heer Teunis Hagen, als voorzitter;</li><li>de heer Tjepko Wytze van der Raaij, als penningmeester; en</li><li>de heer Jakob Schripsema, als secretaris.</li></ul></p>
<p>De verschijnende personen zijn mij, notaris, bekend.</p>
<p>WAARVAN AKTE is verleden te Utrecht op de datum in het hoofd dezer
akte vermeld.</p>
<p>Na zakelijke opgave van de inhoud van deze akte en na het geven van een
toelichting daarop aan de verschijnende personen, heeft deze verklaard
van de inhoud van deze akte te hebben kennisgenomen en daarmee in te
stemmen.</p>
<p>Vervolgens is deze akte onmiddellijk na beperkte voorlezing door de
verschijnende persoon en mij, notaris, ondertekend.</p>

<h2>OPRICHTING STICHTING</h2>
<p>Heden, eenentwintig augustus tweeduizend, verschijnt voor mij,
mr. Jan Willem Anton Schenk, kandidaat-notaris, hierna ook te noemen "notaris",
waarnemer van mr. Kornelis Hans Pentinga, notaris, met plaats van vestiging
Utrecht:</p>
<p>mevrouw Cinderella Patricia van Liempdt, kandidaat-notaris,
met het kantooradres 3584 BB Utrecht, Pythagoraslaan 2,
geboren te Utrecht op achttien november negentienhonderd vierenzeventig,</p>
<p>als schriftelijk gevolmachtigde van:
<ul><li>de heer Teunis Hagen, wonende te 5971 AZ Grubbenvorst, De Bisweide 28,
geboren te Opsterland op zes oktober negentienhonderd vijfenveertig,
houder van Nederlands paspoort met nummer N98352472, hierna te noemen:
<strong>Hagen</strong>";</li><li>de heer Tjepko Wytze van der Raaij, wonende te 3958 XH Amerongen,
Koenestraat 92, geboren te Schoonebeek op achtentwintig juni negentienhonderd
vierenvijftig, houder van Nederlands paspoort met nummer N97257418,
hierna te noemen: "<strong>Van der Raaij</strong>"; en</li><li>de heer Jakob Schripsema, wonende te 9472 RB Zuidlaren, Ter Borch 32,
geboren te Vlagtwedde op negen december negentienhonderd vijfenvijftig,
houder van Nederlands rijbewijs met nummer 3165566747, hierna te noemen:
"<strong>Schripsema</strong>".</li></ul></p>
<p>Van de machtiging van de verschijnende persoon blijkt uit een onderhandse
akte van volmacht, welke onmiddellijk na het passeren aan deze akte zal
worden gehecht.</p>
<p>De verschijnende persoon, handelend als gemeld, geeft vooraf het volgende
te kennen:
<ul><li>De stichting: Stichting NLnet, met statutaire zetel te Amsterdam,
is een stichting, welke als algemeen nut beogende instelling als bedoeld
in artikel 24 lid 4 van de Successiewet 1956 is aangemerkt;</li><li>Stichting NLnet, voornoemd, heeft als doel het bevorderen van electronische
informatie-uitwisseling en al hetgeen daarmee verband houdt;</li><li>Stichting NLnet wil als uitvloeisel van haar vorenomschreven doel
Open Source Software ten behoeve van Internet (verder) ontwikkelen;</li><li>Om administratieve- en organisatorische redenen wil Stichting NLnet
deze laatstgenoemde activiteiten als uitvloeisel van haar eigen activiteiten
in een afzonderlijk door haar op te richten stichting uitoefenen.</li></ul></p>
<p>De verschijnende persoon verklaart namens Hagen, Van der Raaij en
Schripsema bij deze akte een stichting op te richten en daarvoor de
navolgende statuten vast te stellen:</p>
<h3>Definitie:</h3>
<ul><li><strong>Open Source Software</strong>:
software waarvan de broncode (source) vrij ter beschikking is voor
derden.</li><li><strong>Periode</strong>:
de periode van twee (2) jaren te rekenen vanaf de oprichting van de
stichting.</li><li><strong>Stichting NLnet</strong>:
de stichting: Stichting NLnet, met statutaire zetel te Amsterdam.</li></ul>
<h2>STATUTEN</h2>
<h3>NAAM EN ZETEL</h3>
<em>Artikel 1</em>
<ul><li>
De stichting is genaamd:
<strong>Stichting LogReport Foundation</strong></li><li>De stichting heeft haar zetel in de gemeente Eindhoven.</li></ul>
<h3>DUUR</h3>
<em>Artikel 2</em>
<p>De stichting is opgericht voor onbepaalde tijd.</p>
<h3>DOEL EN MIDDELEN</h3>
<em>Artikel 3</em>
<ul><li>De stichting heeft ten doel:
<ul><li>het ontwikkelen, onderhouden en verspreiden van hulpmiddelen en kennis
voor het verwerken van log files van netwerk/computer systeemtoepassingen
en het genereren van rapporten op basis van dergelijke logfiles;</li><li>het stimuleren van het gebruik van bovengenoemde hulpmiddelen en kennis
bij het beheren van informatiesystemen;</li><li>het stimuleren van auteurs van netwerk/computer systeemtoepassingen tot
het opnemen van voorzieningen in deze toepassingen voor het genereren van
zinvolle gestandaardiseerde en automatisch te verwerken informatie in log
files;</li><li>het bijdragen aan de ontwikkeling en invoering van productonafhankelijke
log file formaten (standaards);</li><li>het creëren van een forum voor systeem beheerders en software
ontwikkelaars op het gebied van toepassing en analyse van log file informatie;
en</li><li>voorts al hetgeen met één en ander rechtstreeks of zijdelings
verband houdt of daartoe bevorderlijk kan zijn, alles in de ruimste zin.</li></ul>
</li><li>
De stichting tracht haar doel onder meer, doch niet beperkt daartoe,
te verwezenlijken door:
<ul><li>het bieden van gelegenheid aan getalenteerde software ontwikkelaars om
Open Source Software projecten ten bate van het Internet te ontwikkelen,
uit te breiden, te onderhouden, en beschikbaar te stellen;</li><li>het aangaan van samenwerkingen, in welke vorm dan ook, met andere
ontwikkelaars op het gebied van de ontwikkeling van de onder a. bedoelde
projecten;</li><li>het bevorderen dat de ontwikkelde software een brede verspreiding
vindt.</li></ul></li><li>Alle door de stichting ontwikkelde software en documentatie wordt steeds
onder Open Source condities ter beschikking gesteld van de gemeenschap.</li></ul>
<h3>VERMOGEN</h3>
<em>Artikel 4</em>
<p>Het vermogen van de stichting wordt gevormd door:</p>
<ul><li>giften, subsidies, erfstellingen en legaten;</li><li>alle andere wettige baten.</li></ul>
<h3>BESTUUR</h3>
<em>Artikel 5</em>
<ul><li>Het bestuur van de stichting bestaat uit drie (3) personen.</li><li>Tijdens de Periode worden twee (2) van de leden van het bestuur benoemd
door Stichting NLnet. Het derde bestuurslid wordt benoemd door de hiervoor
gemelde leden. Na de Periode zullen bestuursleden bij wege van coöptatie
worden benoemd.</li><li>Het bestuur kiest uit zijn midden een voorzitter, een secretaris en
een penningmeester. De functies van secretaris en penningmeester kunnen
door één persoon worden vervuld.</li><li>Mochten in het bestuur om welke reden dan ook één of meer leden
ontbreken, dan vormen de overblijvende bestuursleden, of vormt het enig
overblijvende bestuurslid, niettemin een bevoegd bestuur,
onverminderd de verplichting om zo spoedig mogelijk te voorzien
in de vacature of vacatures.</li><li>De leden van het bestuur genieten geen beloning voor hun werkzaamheden.
Zij hebben wel recht op vergoeding van de door hen in de uitoefening van
hun functie in redelijkheid gemaakte kosten.</li></ul>
<h3>BESTUURSVERGADERINGEN EN BESTUURSBESLUITEN</h3>
<em>Artikel 6</em>
<ul><li>Vergaderingen zullen telkenmale worden gehouden wanneer de voorzitter dit
wenselijk acht of indien één van de andere bestuursleden
daartoe schriftelijk en onder nauwkeurige opgave van de te behandelen
punten aan de voorzitter het verzoek richt, doch in ieder geval
één maal per jaar. Indien de voorzitter aan een dergelijk
verzoek geen gevolg geeft in dier voege, dat de vergadering kan worden
gehouden binnen drie (3) weken na het verzoek, is de verzoeker bevoegd
zelf een vergadering bijeen te roepen met inachtneming van de vereiste
formaliteiten. De vergaderingen worden binnen Nederland gehouden.</li><li>De oproeping tot de vergadering geschiedt - behoudens het in lid 1 van
dit artikel bepaalde - door de voorzitter ten minste zeven (7) dagen
tevoren, de dag der oproeping en die der vergadering niet meegerekend,
door middel van oproepingsbrieven.</li><li>De directeur van de stichting wordt tevens opgeroepen voor de
bestuursvergaderingen. Hij heeft in die vergaderingen een adviserende
stem.</li><li>De oproepingsbrieven vermelden, behalve plaats en tijdstip van de
vergadering, de te behandelen onderwerpen.</li><li>Indien de door de statuten gegeven voorschriften voor het oproepen
en houden van vergaderingen niet in acht zijn genomen, kunnen in een
bestuursvergadering slechts geldige besluiten worden genomen met algemene
stemmen in een vergadering waarin alle in functie zijnde bestuursleden
aanwezig of vertegenwoordigd zijn.</li><li>De vergaderingen worden geleid door de voorzitter.
Bij diens afwezigheid voorziet de vergadering zelf in haar leiding.</li><li><p>Van het verhandelde in de vergaderingen worden notulen gehouden
door de secretaris of door één van de andere aanwezigen, door de
voorzitter van de vergadering daartoe aangezocht.</p>
<p>De notulen worden vastgesteld en getekend door de voorzitter en de
secretaris van de desbetreffende vergadering dan wel vastgesteld door
een volgende vergadering en alsdan getekend door de voorzitter en de
secretaris van die volgende vergadering.</p>
</li><li><p>Het bestuur kan ter vergadering alleen dan geldige besluiten nemen
indien de meerderheid van de in functie zijnde bestuursleden ter vergadering
aanwezig of vertegenwoordigd is.</p>
<p>Een bestuurslid kan zich ter vergadering door een medebestuurslid laten
vertegenwoordigen onder overlegging van een schriftelijke, ter beoordeling
van de voorzitter van de vergadering voldoende, volmacht. Een bestuurslid
kan slechts voor één medebestuurslid als gevolmachtigde
optreden.</p>
</li><li><p>Het bestuur kan ook buiten vergadering besluiten nemen, mits alle
bestuursleden in de gelegenheid zijn gesteld schriftelijk, per telefax
of per e-mail hun mening te uiten.</p>
<p>De bescheiden waaruit van een zodanig besluit blijkt worden bij de
notulen gevoegd.</p>
</li><li><p>Ieder bestuurslid heeft het recht op het uitbrengen van
één (1) stem.</p>
<p>Voorzover deze statuten geen grotere meerderheid voorschrijven komen
alle bestuursbesluiten tot stand met volstrekte meerderheid van de
uitgebrachte stemmen.</p>
</li><li><p>Alle stemmingen ter vergadering geschieden mondeling, tenzij de
voorzitter van de desbetreffende vergadering een schriftelijke stemming gewenst
acht of één der stemgerechtigde aanwezigen dit voor de
stemming verlangt.</p>
<p>Schriftelijke stemming geschiedt bij ongetekende, gesloten
briefjes.</p>
</li><li>Blanco stemmen worden beschouwd als niet te zijn uitgebracht.
Zij tellen wel mee ter bepaling van enig quorum.</li><li>Het ter vergadering uitgesproken oordeel van de voorzitter van de
desbetreffende vergadering omtrent de uitslag van een stemming is
beslissend. Hetzelfde geldt voor de inhoud van een genomen besluit,
voorzover werd gestemd over een niet schriftelijk vastgelegd
voorstel.</li><li>Wordt onmiddellijk na het uitspreken van het oordeel van de voorzitter
van de desbetreffende vergadering de juistheid daarvan betwist, dan vindt een
nieuwe stemming plaats, indien de meerderheid der vergadering of, indien
de oorspronkelijke stemming niet hoofdelijk of schriftelijk geschiedde,
een stemgerechtigde aanwezige, dit verlangt. Door deze nieuwe stemming
vervallen de rechtsgevolgen van de oorspronkelijke stemming.</li></ul>
<h3>BESTUURSBEVOEGDHEID</h3>
<em>Artikel 7</em>
<ul><li>Behoudens beperkingen volgens deze statuten, is het bestuur belast
met het besturen van de stichting.</li><li>Het bestuur is bevoegd te besluiten tot het aangaan van overeenkomsten
tot verkrijging, vervreemding en bezwaring van registergoederen, en tot
het aangaan van overeenkomsten waarbij de stichting zich als borg of
hoofdelijk medeschuldenaar verbindt, zich voor een derde sterk maakt
of zich tot zekerheidstelling voor een schuld van een derde verbindt,
mits in alle gevallen op grond van een met algemene stemmen genomen
bestuursbesluit in een vergadering, waarin alle in functie zijnde
bestuursleden aanwezig of vertegenwoordigd zijn zonder dat in het bestuur
enige vacature bestaat.</li><li>Het bestuur draagt zorg voor de inschrijving van de stichting en van
alle bestuursleden en de mutaties daarin in het handelsregister.</li></ul>
<h3>VERTEGENWOORDIGING</h3>
<em>Artikel 8</em>
<p>De stichting wordt vertegenwoordigd door:
<ul><li>het bestuur; of</li><li>twee gezamenlijk handelende bestuursleden.</li></ul></p>
<h3>EINDE BESTUURSLIDMAATSCHAP</h3>
<em>Artikel 9</em>
<ul><li>Ieder bestuurslid treedt uiterlijk drie (3) jaar na zijn benoeming
af, of eerder volgens een door het bestuur op te maken rooster
van aftreden. Aftredende bestuursleden zijn onbeperkt terstond
herbenoembaar.</li><li>Het bestuurslidmaatschap eindigt:
<ul><li>door overlijden;</li><li>door (schriftelijk) bedanken;</li><li>indien een bestuurder het vrije beheer of de vrije beschikking over zijn
vermogen verliest;</li><li>door ontslag door de rechtbank;</li><li>door een daartoe strekkend bestuursbesluit, genomen in een vergadering
waarin door alle overige in functie zijnde bestuursleden voor het ontslag
van het betreffend bestuurslid is gestemd.</li></ul></li><li>Een bestuurder kan te allen tijde door een éénstemmig
besluit van alle andere bestuurders worden geschorst. Een schorsing,
die niet binnen drie maanden gevolgd wordt door een ontslag, eindigt
door het verloop van die termijn.</li></ul>
<h3>DIRECTEUR</h3>
<em>Artikel 10</em>
<ul><li>Het bestuur is bevoegd een directeur van de stichting te benoemen.</li><li>Het bestuur is tevens bevoegd de directeur te schorsen en te
ontslaan.</li><li>De taken en bevoegdheden van de directeur worden in een door het bestuur
op te maken reglement vastgelegd.</li><li>Aan de directeur kan door het bestuur machtiging worden verleend,
om in specifiek genoemde gevallen de stichting namens het bestuur te

<h3>BOEKJAAR, JAARSTUKKEN EN BEWAARPLICHT</h3>
<em>Artikel 11</em>
<ul><li>Het boekjaar van de stichting is gelijk aan het kalenderjaar. Het eerste
boekjaar eindigt op éénendertig december tweeduizend.</li><li>Het bestuur is verplicht van de vermogenstoestand van de stichting
en van alles betreffende de werkzaamheden van de stichting, naar de
eisen die voortvloeien uit deze werkzaamheden, op zodanige wijze een
administratie te voeren en de daartoe behorende boeken, bescheiden en
andere gegevensdragers op zodanige wijze te bewaren, dat te allen tijde
de rechten en verplichtingen van de stichting kunnen worden gekend.</li><li>Het bestuur is verplicht jaarlijks vóór één
juli de balans en de staat van baten en lasten van de stichting te maken
en op papier te stellen.</li><li>Het bestuur is bevoegd een registeraccountant of
accountant-administratieconsulent te benoemen teneinde de balans en de
staat van baten en lasten te controleren.</li><li>Het bestuur is verplicht de in dit artikel bedoelde boeken, bescheiden
en andere gegevensdragers gedurende zeven (7) jaren te bewaren.</li><li>De op een gegevensdrager aangebrachte gegevens, uitgezonderd de op papier
gestelde balans en staat van baten en lasten, kunnen op een andere
gegevensdrager worden overgebracht en bewaard, mits de overbrenging
geschiedt met juiste en volledige weergave van de gegevens en deze
gedurende de volledige bewaartijd beschikbaar zijn en binnen redelijke
tijd leesbaar kunnen worden gemaakt.</li></ul>
<h3>STATUTENWIJZIGING EN ONTBINDING</h3>
<em>Artikel 12</em>
<ul><li><ul><li><p>Gedurende de Periode is het bestuur na voorafgaand verkregen
goedkeuring van Stichting NLnet bevoegd de statuten van de stichting te
wijzigen met inachtneming van het bepaalde in lid 2 van dit artikel, alsmede
om de stichting te ontbinden. Besluiten hiertoe moeten worden genomen
met tenminste twee derde (2/3) meerderheid van de stemmen in een
vergadering waarin alle van de in functie zijnde bestuursleden aanwezig
of vertegenwoordigd zijn zonder dat in het bestuur enige vacature
bestaat.</p>
<p>Zijn niet alle bestuursleden tegenwoordig of vertegenwoordigd,
dan kan binnen vier (4) weken daarna een tweede vergadering worden
bijeengeroepen en gehouden, waarin over het voorstel zoals dat in
de vorige vergadering aan de orde is gesteld, ongeacht het aantal
tegenwoordig of vertegenwoordigde bestuursleden, kan worden besloten,
mits met een meerderheid van ten minste twee derde (2/3) van de
stemmen.</p>
</li><li><p>Na de Periode is het bestuur bevoegd de statuten van de
stichting te wijzigen met inachtneming van het bepaalde in lid 2 van
dit artikel, alsmede om de stichting te ontbinden. Besluiten hiertoe
moeten worden genomen met algemene stemmen in een vergadering waarin
alle van de in functie zijnde bestuursleden aanwezig of vertegenwoordigd
zijn zonder dat in het bestuur enige vacature bestaat.</p>
<p>Zijn niet alle bestuursleden tegenwoordig of vertegenwoordigd,
dan kan binnen vier (4) weken daarna een tweede vergadering worden
bijeengeroepen en gehouden, waarin over het voorstel zoals dat in
de vorige vergadering aan de orde is gesteld, ongeacht het aantal

</li></ul></li><li>Artikel 3 "DOEL EN MIDDELEN", alsmede lid 5 van dit artikel van deze
statuten kan niet worden gewijzigd.</li><li>Statutenwijziging moet op straffe van nietigheid bij notariële
akte tot stand komen. Ieder bestuurslid is afzonderlijk bevoegd zodanige
akte te doen verlijden. De bestuursleden zijn verplicht een authentiek
afschrift van de wijziging alsmede de gewijzigde statuten neer te
leggen ten kantore van het handelsregister.</li><li>Na ontbinding blijft de stichting voortbestaan voorzover dit tot
vereffening van haar vermogen nodig is. Ter vereffening van het vermogen
van de ontbonden stichting treden de bestuurders als zodanig op. De
vereffenaars dragen zorg voor inschrijving van de ontbinding van de
stichting bij het handelsregister.</li><li>Een eventueel overschot na vereffening van de ontbonden stichting wordt
besteed overeenkomstig het doel van de stichting.</li><li>De boeken, bescheiden en andere gegevensdragers van de ontbonden
stichting moeten worden bewaard gedurende zeven (7) jaren na afloop
van de vereffening door degene die hiertoe door het bestuur als zodanig
is aangewezen.</li></ul>
<h3>REGLEMENTEN</h3>
<em>Artikel 13</em>
<p>Het bestuur van de stichting kan reglementen vaststellen en wijzigen of
op heffen. Een reglement mag niet in strijd zijn met de wet of met deze
statuten. Op de vaststelling, wijziging en opheffing van de reglementen
is het bepaalde in artikel 12 lid 1 van toepassing.</p>
<h3>SLOTBEPALINGEN</h3>
<em>Artikel 14</em>
<p>In alle gevallen, waarin noch de wet, noch deze statuten, noch de
reglementen van de stichting voorzien, beslist het bestuur.</p>
<p>Tenslotte verklaren de verschijnende personen dat - in afwijking van het
bepaalde in artikel 5 leden 2 en 3 - voor de eerste maal tot bestuurders
van de stichting worden benoemd met de volgende functies:
<ul><li>de heer Teunis Hagen, als voorzitter;</li><li>de heer Tjepko Wytze van der Raaij, als penningmeester; en</li><li>de heer Jakob Schripsema, als secretaris.</li></ul></p>
<p>De verschijnende personen zijn mij, notaris, bekend.</p>
<p>WAARVAN AKTE is verleden te Utrecht op de datum in het hoofd dezer
akte vermeld.</p>
<p>Na zakelijke opgave van de inhoud van deze akte en na het geven van een
toelichting daarop aan de verschijnende personen, heeft deze verklaard
van de inhoud van deze akte te hebben kennisgenomen en daarmee in te
stemmen.</p>
<p>Vervolgens is deze akte onmiddellijk na beperkte voorlezing door de
verschijnende persoon en mij, notaris, ondertekend.</p>

He'll work on, among other things, developing a graphical user interface for

leave your comments on the article.</li><li>2001-09-04: A new stable release of Lire is available. Many bugs have
been fixed, and functionality has been added. WWW log analysis is much
improved, with detecting of browsers, operating systems etc, for the combined
format. WWW referrer information can now be analyzed, as used in Apache's
referer and combined formats. DNS analysis has been improved to support a
wider range of log files. More information about this release can be read in
the <acronym title="Broken link to /pub/lire-20010903/NEWS">NEWS</acronym> file. The release
itself can be downloaded from
<a href="/pub/">http://www.logreport.org/pub/</a>.</li><li>2001-08-27: Lire is becoming a rather large project. With three paid
employees this is not strange. Since the beginning of Lire being hosted at
SourceForge over 1100 files have been added to CVS.</li><li>2001-08-24: In CVS a new super service is added: FTP. The current code is
expected to stabilize in the next few days. Xferlog(5) files are supported
which covers many FTP servers. The number of <a href="http://cvs.sourceforge.net/cgi-bin/viewcvs.cgi/logreport/service/ftp/reports/">
reports</a> is a bit limited at this time.</li><li>2001-08-19: The next Lire release will support User Agent detection and
reporting for WWW services. A report will be generated on which browsers are
used, which language the user prefers and which operating system is used. Web
robot, for example used by search engines, are also detected. The new reports
can be found in <a href="http://cvs.sourceforge.net/cgi-bin/viewcvs.cgi/logreport/service/www/script/Attic/report_useragent.in?only_with_tag=lire-stable">CVS</a>.</li><li>2001-07-30: A
<a href="/lire/ex/logml.php">screenshot</a> has been added
to the website that shows the LogML graph for a www superservice report.</li><li>2001-06-29: A new Lire package, lire-20010629.1, is available. It
offers support for HTML reports (next to the already available
PDF and ASCII reports), with images and graphs. See the NEWS file for more
details.

</li><li>2001-06-27: screenshots of a PDF report made with current CVS code are
added to the website. They show two graphical representations of data from
a www superservice report. The screenshots menu can be found at the left side
of this webpage.</li><li>2001-06-22: hibou.logreport.org, which is running this website and
the (a)logreport.org email addresses and mailing lists, as well as the
log(a)<service>.logreport.org online responders, will be offline tomorrow,
Saturday June 23th. It will move to a new via net.works server room.
We expect downtime to be less than two hours. An appointment has been made
to move the server at 14:00 CET, i.e. 14:00 +0200.</li><li>2001-06-20: The #logreport irc channel is in the air. Join it if you'd
like to meet the LogReport team and join the lively <a href="/pub/current/doc/">Lire</a> development discussions.

Manual</a> has been placed online in HTML format. This is the same guide
as distributed in the package.</li><li>2001-04-19: News for those running Debian GNU/Linux:
Lire has been packaged for Debian GNU/Linux. For instructions on how to get
it, check <a href="/lire/dl.php">the download
area</a>. Building a Lire rpm, for those running Redhat or another rpm based
linux, is next on our list.</li><li>2001-04-08 (1): A new LogReport Lire package, lire-20010407, is
available.

The internal format is now pure XML. So people sending
anonimized logs to log(a)<service>.logreport.org should upgrade
their lire-client: when sending anonimized logs, an anonimized
report in _xml_ format is sent back. One needs the
lr_rawmail2mail as shipped with lire-20010407 to deal with
this. This new format enables us to support html and pdf style output.
We expect to be able to fully support this in next Lire's release.
More details are in the NEWS and README files.</li><li>2001-04-08 (2): Support for exim (a Mail Transport Agent, see
<a href="http://www.exim.org">http://www.exim.org/</a>)
logfiles has been added. Furthermore, a lot of small bugs have
been fixed in this new release.
Again, see the NEWS and README files for more details.</li><li>2001-04-08 (3): A new responder has been set up: log(a)exim.logreport.org,
for your exim logfiles. The responders for other services logfiles have
been upgraded to support the new raw xml format.</li><li>2001-03-19: What's in a name? Well, the LogReport software did get a new
one: >> <strong>lire</strong> <<.
But, more important: a new LogReport package,
lire-20010318.tar.gz, is available. Among its new features are the option
to generate XML output, an easier configuration, and support for access logs
from <a href="http://www.boa.org">the boa webserver</a>.
More details and yet more new features are in the NEWS and README files in
the package.</li><li>2001-03-11: In addition to SunOS 5.7, the package has now also been
tested on SunOS 5.6.</li><li>2001-03-04: A new responder went live: log(a)bind9.logreport.org. Read
about it on our <a href="/lire/or"> responder page</a>.</li><li>2001-02-20: A new LogReport package, lr-20010219.tar.gz,
has been uploaded. New features include: lr_run script: running the
scripts will no longer spam your terminal with debug output; and: local site
config file defaults.local, kept between upgrades. More information is in
the NEWS file in the package.</li><li>2001-02-18: Two new online report responders went live:
log(a)apachecombined.logreport.org and log(a)apachemodgzip.logreport.org.</li><li>2001-02-16: <a href="/about/team.php">Egon Willighagen</a>
joined the LogReport team. He'll help us with, among other things, getting
the software XML-enabled. We're sure his contribution will considerably
speed up the development and maturing of the LogReport software. (We still

<h1>Mission</h1>
<p>The LogReport idea was born on April 6th 2000 over a beer and a good meal.
The LogReport foundation was established August 21st 2000, and
is called Stichting LogReport Foundation officially. (The word Stichting
means Foundation in Dutch. Dutch law obliges us to use the word Stichting
for a foundation). The articles of association (in Dutch) can be
viewed (<a href="/about/aofa.php">Articles of Association</a>).</p>
<p>The financial and management support of <a href="http://www.nlnet.nl">Stichting NLnet</a> puts a
solid basis under the LogReport initiative.</p>
<p>Log file analysis is a tedious job for most system administrators
because reporting tools are not available and because products do
not log the required information. LogReport want to improve this
by supplying the system administrators tools and information
and by giving the product developers specifications of what logging
is needed.</p>
<h2>The LogReport organization activities:</h2>
<ul><li>Develop, maintain and propagate tools as well as knowledge for
log file processing and report generation.</li><li>Stimulate usage of such tools and knowledge in the management
of information systems.</li><li>To convince authors to include machine parsable information in
log files</li><li>Strive for product independent file formats.</li><li>Brings system managers and developers together</li></ul>

published on the web site.

<h2>LogReport benefits for Developers:</h2>
<ul><li>The production line architecture is product or service independent
so other services can become 'LogReport enabled'. This requires
the development of converters and report engine software.</li><li>The benefit of XML needs to be explored. Is it useful to define
generic Document Type Definitions for reports or logs? LogReport
gathers developers who are interested in this topic.</li></ul>
<h2>LogReport benefits for Vendors:</h2>
<ul><li>They have direct logging requirements feedback from the system
managers</li><li>Their improved products will have competitive advantage because
